Roles of the Officers
President
The President shall preside as Chair at all meetings of the Board of Directors and at all meetings of the PHNA membership; shall see that orders and resolutions of the Board of Directors are carried out; shall appoint special committees, with the consent of the Board of Directors, as deemed necessary or needful; and shall perform such other duties as may be prescribed by law, by the Articles of Incorporation, by these bylaws, and as may be prescribed by the Board of Directors from time to time.
Vice Presidents
Vice Presidents shall assist the President and, as parliamentarians, shall advise meeting Chairs on and assist with parliamentary procedure at all meetings of the Board of Directors and members. In the absence of the President, or in the event of the President’s inability or refusal to act, the Vice President shall perform all the duties of the President, and when so acting shall have all the powers of, and be subject to all the restrictions on, the President. When there is more than one Vice President in office, the Vice Presidents shall act in the following order of priority: Vice President-Atlanta, then Vice President-Brookhaven. The Vice Presidents shall have such other powers and perform such other duties as may be prescribed by law, by the Articles of Incorporation, by these bylaws, and as may be prescribed by the President or the Board of Directors from time to time.
Secretary
The Secretary shall record the votes and keep the minutes of all meetings and proceedings of the Board of Directors and the members; keep appropriate current and historic records; and shall have such other powers and perform such other duties as may be prescribed by law, by the Articles of Incorporation, by these bylaws, and as may be prescribed by the President or the Board of Directors from time to time.
Treasurer
The Treasurer shall be responsible for the funds of PHNA; shall maintain full and accurate fiscal accounts and records; shall maintain a current list of members; shall provide regular financial and membership reports; and shall have such other powers and perform such other duties as may be prescribed by law, by the Articles of Incorporation, by these bylaws, and as may be prescribed by the President or the Board of Directors from time to time.
